Groomies Salon Partner Agreement
Commission-based listing and booking services
The short version
- ✓ Groomies lists your salon and sends you bookings. You groom; you set your own services and prices.
- ✓ Commission only on completed grooms: 15% + GST on customers Groomies brings, 5% + GST on your own customers who join through your link. Founding salons (first 100) pay 10% + GST on Groomies customers for 12 months.
- ✓ No monthly fee. Onboarding is free for the first 100 salons. A refundable ₹1,000 deposit applies from salon #51.
- ✓ Online payments are held and released to your bank 48 hours after the groom, minus commission, GST and gateway charges.
- ✓ Pay-at-salon commission is billed on the 1st (GST invoice), due in 7 days, collected by UPI Autopay. Listings pause if a bill is 15 days old and unpaid.
- ✓ Don't take Groomies customers off the platform for 12 months. Don't use customer data for your own marketing.
- ✓ Either side can end the agreement with 30 days' notice.
1. Parties
This Agreement is between (a) Fetch It, a sole proprietorship registered under GST, operating the platform "Groomies by Fetch It" ("Groomies", "we", "us"), and (b) the grooming business named in the signature block (the "Salon", "you").
It takes effect on the date you accept it — by signing a copy or by tapping "I accept" in Groomies Studio — (the "Effective Date"). Electronic acceptance is a valid signature under the Information Technology Act, 2000; Groomies records the date, time, account and IP address of acceptance.
2. Definitions
"Platform" means the Groomies website, web app, Studio dashboard and any future mobile apps.
"Customer" means a dog parent who books the Salon through the Platform.
"Groomies Customer" means a Customer who was not referred by the Salon — i.e. who first found the Salon through the Platform, search, featured listings or Groomies marketing.
"Own Customer" means a Customer who created their Groomies account through the Salon's referral link or QR code.
"Completed Booking" means a booking marked done by the Salon, or a confirmed booking for which 48 hours have passed after the slot without the Salon marking a no-show.
"Groom Price" means the price shown for the service and dog size at the time of booking, excluding any taxes Groomies charges you.
3. What Groomies does
Groomies provides a non-exclusive online marketplace and booking software. We are not a grooming service, employer or agent of the Salon, and the Salon remains an independent business.
We list the Salon, show its live availability, pass booking requests and notifications, collect online payments through our payment partner, provide the Studio dashboard and customer support for Platform issues.
We may decide how listings are ranked and displayed. Featured listings are clearly labelled. We do not guarantee any number of bookings.
4. Onboarding, KYC and listing
You will give accurate information and keep it current: legal and trading name, address, phone, services, prices, hours and photos.
Before going live you will provide KYC: owner PAN; GSTIN (if registered); address proof of the premises; a photo of the shop; and UPI ID and/or bank account details in the business's or proprietor's name. Aadhaar is not required.
A Groomies field agent may help set up your Studio, take photos and draft your listing (including AI-assisted descriptions). You are responsible for checking and approving everything shown on your listing.
Groomies may verify documents, visit the premises and approve, reject, pause or remove a listing at its discretion, with reasons where practical.
Onboarding is free for the first 100 approved salons. From salon number 51, a refundable security deposit of ₹1,000 is payable before the listing goes live (clause 9).
5. Bookings and service standards
You will confirm or decline booking requests within 10 minutes during your opening hours (requests received while you are closed must be answered within 10 minutes of opening). Unanswered requests expire automatically and any online payment is refunded to the Customer. Frequent expiries may lower your ranking.
You will honour confirmed bookings at the confirmed time and price. If you must cancel, you will do it in the Studio as early as possible; repeated cancellations may lower ranking or lead to removal.
You will treat every animal with care and follow safe, humane grooming practice. You may refuse or stop a service if continuing would be unsafe for the dog or staff, and will tell the Customer why.
You are solely responsible for your staff, premises, equipment, products, licences and compliance with applicable laws, including animal welfare laws.
You will mark no-shows honestly. False no-show or completion markings are a material breach.
6. Fees
Commission is payable only on Completed Bookings (and on online-paid no-shows, where you keep the payment), as a percentage of the Groom Price:
(a) Groomies Customers — 15%; (b) Own Customers — 5%; (c) Founding rate — salons approved among the first 100 pay 10% instead of 15% on Groomies Customers for 12 months from approval.
GST at the applicable rate (currently 18%) is added to all fees. All amounts are in Indian Rupees.
No commission is charged on pay-at-salon bookings that are declined, expired, cancelled or no-shows.
Optional paid services, only if you choose them: Studio Pro (₹999 per month, first 3 months free for founding salons, cancel anytime); Featured weekly spots (₹499 per area per week, maximum 3 salons per area); Fetch It supplies at wholesale prices. These are added to your monthly bill.
Customers do not pay Groomies any booking fee. You will not add a surcharge to Customers for booking through the Platform.
7. Online payments, settlement and refunds
Where you accept online payment, Customers pay the full Groom Price through Groomies' payment partner (currently Razorpay). Funds are held by the payment partner and released to your registered bank account 48 hours after the booked slot.
Each payout equals the Groom Price minus: commission and GST on it; the payment gateway's charges (about 2%); and any tax Groomies is required to collect or deduct (for example TCS under section 52 of the CGST Act and TDS under section 194-O of the Income-tax Act). Groomies will share tax certificates as required by law.
Customer refunds for online bookings are paid from the held amount: in full if you decline, the request expires, you cancel, or the Customer cancels before your cancellation cutoff. No refund is due for cancellations inside your cutoff or for no-shows; in those cases you receive the payout.
Chargebacks and payment disputes: if a dispute relates to the grooming service (for example service not provided, quality or conduct), the disputed amount may be recovered from your future payouts or deposit; if it relates to a Groomies error, Groomies bears it.
8. Monthly billing and collection
On the 1st of each month Groomies issues a GST tax invoice for the previous month's commission and any optional services, less referral credits. Commission already deducted from online payouts is shown as paid.
Invoices are due within 7 days. You authorise Groomies to collect invoice amounts through the UPI Autopay (or e-NACH) mandate you set up at onboarding, debited on or after the 5th after a pre-debit notice. If a debit fails, you will pay through the Studio or by UPI within the due period.
If any invoice remains unpaid 15 days after its date, your listing is paused automatically until it is paid. Groomies may charge interest at 1.5% per month on amounts more than 30 days overdue [lawyer to confirm].
Groomies may set off any amount you owe against payouts or your deposit.
If you dispute an invoice, tell us in writing within 7 days of the invoice date with reasons; you will pay the undisputed part on time.
9. Security deposit
Salons approved as number 51 or later pay a one-time refundable security deposit of ₹1,000 before going live. No interest is payable on it.
The deposit is refunded within 30 days after termination, less any amounts you owe Groomies.
10. Non-circumvention
For the term of this Agreement and 12 months after a Customer's first booking through the Platform, you will not solicit or accept bookings from a Groomies Customer outside the Platform to avoid commission, or encourage a Groomies Customer to book you directly.
This does not apply to Own Customers, or to customers you can show were already your customers before they first booked through the Platform.
If you breach this clause, Groomies may charge the commission it would have earned on the diverted bookings, pause or remove your listing, and terminate this Agreement.
11. Referral program
You will get a personal referral link and QR code. Customers who sign up through it within 30 days of their first visit to the link are Own Customers.
You earn a referral credit (currently ₹49) when a referred Customer completes their first qualifying groom — one where the commission earned on that groom is at least the credit amount. Credits are applied to your monthly bill, have no cash value and may be reversed if obtained through fake, duplicate or self-referred accounts.
12. Customer data and confidentiality
Groomies shares Customer names, phone numbers, dog details and booking notes with you only to provide the booked service. You will use them for that purpose only, keep them secure, and not use them for your own marketing, sell them or share them with anyone else.
You will comply with the Digital Personal Data Protection Act, 2023 as it applies to you, and delete Customer data obtained through the Platform when it is no longer needed for the service or within 30 days of termination, except where the law requires you to keep it.
Each party keeps the other's non-public business information confidential.
13. Content, reviews and brand
You grant Groomies a non-exclusive, royalty-free licence to display your name, logo, photos and listing content on the Platform and in marketing of the Platform during the term.
Reviews are written by Customers who completed bookings. You may reply publicly. Groomies may remove reviews that break its policies but will not remove genuine reviews because they are negative.
You may use the Groomies name and badge only as Groomies provides them, and only while listed.
14. Liability and indemnity
You are responsible for the grooming service, including any injury, illness, loss or damage to an animal or person arising from it, and will indemnify Groomies against third-party claims arising from your services, staff, premises or breach of this Agreement. Groomies recommends you hold suitable business insurance.
Groomies' total liability to you under this Agreement in any 12-month period is limited to the commission you paid Groomies in the 3 months before the claim. Neither party is liable for indirect or consequential loss, including loss of profit.
Nothing in this Agreement limits liability that cannot be limited by law, including for fraud.
15. Changes
Groomies will give at least 15 days' notice by email or in the Studio before changing commission rates or fees. Changes never apply to bookings already made. If you don't agree, you may terminate before the change takes effect.
Groomies may update operational policies (for example reply windows or listing rules) with reasonable notice.
16. Term and termination
This Agreement continues until ended. Either party may terminate with 30 days' written notice (email or in-app is sufficient).
Groomies may suspend or terminate immediately for: fraud or false KYC; risk to animal or human safety; amounts more than 30 days overdue; breach of clause 10 or 12; or repeated serious complaints.
On termination: confirmed bookings in the notice period are honoured (or refunded to Customers); all amounts owed become payable; held payouts are released less amounts owed; the deposit is refunded under clause 9; clauses 7–8 (for amounts accrued), 10, 12, 14, 17 and 18 survive.
17. Disputes and governing law
The parties will first try to resolve any dispute in good faith within 30 days of written notice.
Unresolved disputes will be referred to arbitration by a sole arbitrator appointed by mutual agreement, under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is New Delhi and the language is English.
This Agreement is governed by the laws of India. Subject to arbitration, courts at New Delhi have exclusive jurisdiction.
18. General
Notices: by email to the addresses in the signature block or through the Studio.
Assignment: you may not assign this Agreement without consent. Groomies may assign it to an affiliate or successor entity (including a private limited company formed to run Groomies) on notice to you.
This Agreement (with its annexures and the Platform terms it refers to) is the entire agreement on its subject. If any part is unenforceable, the rest continues. Delay in enforcing a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
